Software License Agreement

This page is maintained by Bidmoni d/b/a TaxOptix and sets forth the terms under which you may access and use the TaxOptix platform, website, and related services. If you have questions, contact us at support@taxoptix.com.
1. Acceptance of terms
By accessing or using the TaxOptix platform, you agree to be bound by this Software License Agreement and our Privacy Policy. If you do not agree, do not use the platform. We may update these terms from time to time, and continued use after changes constitutes acceptance.
2. Description of service
TaxOptix provides a technology-enabled referral network that connects business owners with independent tax specialists, including firms that perform cost segregation studies, R&D tax credit studies, qualified plan design, and QBI optimization. TaxOptix does not provide tax, legal, accounting, or investment advice and is not a substitute for a licensed professional.
3. User accounts and eligibility
You may need to create an account to access certain features. You agree to provide accurate information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old and authorized to act on behalf of any business you represent.
4. License grant and restrictions
Subject to your compliance with this agreement, TaxOptix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose. You may not reverse-engineer, scrape, copy, modify, distribute, sell, lease, or create derivative works from the platform without our written consent.
5. Intellectual property
All content, software, trademarks, logos, and materials on the platform are owned by or licensed to TaxOptix and are protected by intellectual property laws. You may not use our trademarks without prior written permission. User-generated content you submit remains yours, but you grant TaxOptix a license to use it to operate and improve the service.
6. Fees, payments, and referral terms
Access to the core matching platform is free for business owners. TaxOptix receives referral fees from the specialists in our network. Referral partners are subject to separate referral partnership terms and commission schedules, which are made available upon registration and acceptance into the partner program.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TAXOPTIX DOES NOT GUARANTEE ANY SPECIFIC TAX OUTCOME, SAVINGS, OR ELIGIBILITY FOR CREDITS. ANY ESTIMATES OR PROJECTIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. YOU SHOULD CONSULT A QUALIFIED TAX PROFESSIONAL BEFORE MAKING DECISIONS.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TAXOPTIX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to indemnify and hold harmless TaxOptix and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of your use of the platform, your violation of this agreement, or your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the platform at any time, with or without cause, and without prior notice. Upon termination, all licenses granted to you will immediately cease. Provisions that by their nature should survive termination will survive.
11. Governing law and disputes
This agreement is governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising from this agreement or your use of the platform will be resolved exclusively in the state or federal courts located in Harrison County, Mississippi, and you consent to the personal jurisdiction of those courts.
12. Changes to this agreement
We may modify this agreement from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the platform after changes take effect constitutes acceptance of the revised terms.
